These terms govern your access to heritageagalliance.com and the information, forms, and communications made available through the website.

Please read these Terms of Use carefully. By accessing or using this website, you agree to these terms. If you do not agree, do not use the website or submit a form through it.

1. Acceptance and scope

These Terms of Use are an agreement between you and Heritage Agricultural Alliance, LLC concerning heritageagalliance.com, including its pages, forms, content, and website-related communications (collectively, the “Site”). These terms do not by themselves govern a separately signed engagement. If Heritage Agricultural Alliance, LLC and you later sign a written agreement, that agreement will control to the extent it conflicts with these terms regarding the services covered by it.

2. Eligibility

You must be at least 18 years old and able to enter into a binding agreement to use the Site. If you use the Site for a company, trust, estate, partnership, family ownership group, or other organization, you represent that you have authority to act for that organization and to provide the information you submit.

3. Purpose of the Site

The Site provides general information about Heritage Agricultural Alliance, LLC and a way for agricultural landowners, authorized representatives, families, ownership groups, and professional advisors to begin a property-specific conversation. Site content is provided for general informational purposes and may not address your property, ownership structure, records, facts, timing, or professional obligations.

We may change, suspend, or discontinue any part of the Site at any time. We do not guarantee that every inquiry will result in a meeting, review, recommendation, referral, or engagement.

4. No professional advice or relationship

The Site and its content do not provide tax, legal, accounting, investment, valuation, engineering, agronomic, insurance, or other licensed professional advice. Nothing on the Site is a substitute for advice from professionals who understand your complete circumstances.

Visiting the Site, submitting a form, receiving an acknowledgment, participating in an introductory conversation, or exchanging preliminary information does not:

  • determine whether a residual nutrient deduction or any other tax treatment is available;
  • establish a tax position, value, financial result, or filing recommendation;
  • create an attorney-client, accountant-client, fiduciary, agency, partnership, joint-venture, or other professional relationship;
  • authorize Heritage Agricultural Alliance, LLC or another person to act for you; or
  • create an engagement or obligation to provide services.

A professional relationship or engagement exists only after the appropriate parties sign a separate written agreement that clearly describes scope, responsibilities, fees, and other material terms. Your CPA, attorney, and other advisors remain responsible for the decisions and advice within their professional roles.

5. No promise of eligibility or results

Property conditions, ownership, records, prior activity, applicable law, professional judgment, and other circumstances vary. Any general example, description, estimate, or discussion should not be understood as a promise, guarantee, prediction, or representation that you qualify for a deduction, that a particular method or position is appropriate, or that a specific result will occur.

The goal of an initial property conversation is clarity about the question—not a promised conclusion. Do not delay a filing, election, deadline, legal action, professional consultation, or other required step while waiting for a response through the Site.

6. Your submissions and communications

You agree that information you provide through the Site will be accurate to the best of your knowledge, that you have the right to provide it, and that you will not impersonate another person or submit information on behalf of a property or organization without appropriate authority.

When you submit an inquiry, you authorize us to use the contact details you provide to acknowledge and respond to that inquiry by email and, if you provide a telephone number, by a person-to-person call about directly related next steps. Providing a telephone number does not by itself enroll you in text messages. Text-message consent is collected through a separate optional checkbox, and you may submit the form without agreeing to receive text messages.

Optional text-message program

The Heritage Agricultural Alliance Inquiry Updates program provides recurring non-marketing text messages about an inquiry, including receipt confirmation, scheduling, requested follow-up, and related status updates. Messages may be sent using an automated system. Message frequency varies. Message and data rates may apply. Consent is not a condition of purchase or service.

By checking the optional text-message box, you represent that you are the subscriber or customary user of the telephone number provided and authorize Heritage Agricultural Alliance, LLC to send the messages described above to that number. Reply STOP to opt out. We may send one final message confirming the opt-out. Reply HELP for assistance, or email [email protected]. Carriers are not liable for delayed or undelivered messages. You are responsible for charges imposed by your wireless plan.

This consent is specific to Heritage Agricultural Alliance, LLC and will not be sold or shared for third-party marketing. We may change or discontinue the program, subject to applicable notice requirements. We will not send promotional text messages under this non-marketing opt-in. Email and public website forms are not secure channels for sensitive records. Do not submit tax returns, deeds, Social Security numbers, financial-account information, government identification numbers, entity documents, detailed soil reports, or similar confidential materials unless Heritage Agricultural Alliance, LLC first provides an approved secure method and explains why the material is needed.

7. Acceptable use

You may use the Site only for lawful purposes. You may not:

  • violate any applicable law or the rights of another person;
  • submit false, misleading, unlawful, infringing, malicious, or unauthorized content;
  • attempt to gain unauthorized access to the Site, an account, a network, or data;
  • introduce malware or interfere with the operation, integrity, or security of the Site;
  • use automated means to scrape, harvest, copy, index, or monitor the Site except as allowed by law or our written permission;
  • send spam, commercial solicitations, or abusive communications through the Site; or
  • use Site content or systems to build a competing database, service, or commercial product.

8. Intellectual property

The Site and its original text, design, graphics, logos, marks, arrangement, and other content are owned by or licensed to Heritage Agricultural Alliance, LLC and are protected by applicable intellectual-property laws. Subject to these terms, we grant you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for your own lawful informational purposes.

You may print or save a reasonable copy of Site content for personal reference. You may not reproduce, modify, distribute, sell, license, publicly display, publish, or create derivative works from Site content for commercial use without prior written permission. No rights are granted by implication.

You retain ownership of content you submit. You grant us a nonexclusive license to host, copy, use, and disclose that content only as reasonably necessary to operate the Site, respond to your inquiry, protect the Site, comply with law, and perform activities you later authorize.

9. Third-party links, tools, and professionals

The Site may use or link to third-party websites, platforms, tools, laboratories, advisors, or professionals. A link, reference, or introduction does not guarantee, endorse, or make us responsible for a third party's services, opinions, security, availability, terms, or privacy practices. Third parties operate independently and may require separate agreements. You are responsible for evaluating their qualifications, terms, and advice.

10. Disclaimer of warranties

To the fullest extent permitted by law, the Site and all content made available through it are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise. Heritage Agricultural Alliance, LLC disclaims all implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, and quiet enjoyment. We do not warrant that the Site will be uninterrupted, error-free, secure, complete, current, or suitable for your circumstances, or that defects will be corrected.

Some jurisdictions do not allow certain warranty exclusions. In that event, the exclusions apply only to the extent permitted by applicable law.

11. Limitation of liability

To the fullest extent permitted by law, Heritage Agricultural Alliance, LLC and its affiliates, members, employees, contractors, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, data, use, goodwill, or business opportunity; or damages arising from reliance on Site content, inability to use the Site, unauthorized access, third-party conduct, or a decision made without appropriate professional advice.

To the fullest extent permitted by law, the aggregate liability of Heritage Agricultural Alliance, LLC for claims arising out of or relating to the Site or these terms will not exceed one hundred U.S. dollars ($100). This limitation does not apply to liability that cannot lawfully be excluded or limited.

12. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Heritage Agricultural Alliance, LLC and its affiliates, members, employees, contractors, and agents from third-party claims, liabilities, damages, judgments, losses, and reasonable costs arising from your unlawful use of the Site, your material violation of these terms, or content you submit without the necessary rights or authority. This section does not require indemnification for a party's own conduct where prohibited by law.

13. Governing law and disputes

These terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute arising from the Site or these terms that is not resolved informally must be brought in a state or federal court with proper jurisdiction and venue in Texas, and each party consents to the personal jurisdiction of such courts, except where applicable law requires otherwise.

Before filing a claim, each party agrees to send written notice describing the dispute and to allow 30 days for a good-faith effort to resolve it. This informal-resolution requirement does not prevent either party from seeking urgent injunctive relief or taking action needed to preserve a legal right or deadline.

14. Changes to the Site or these terms

We may revise these terms by posting an updated version and changing the effective date above. Changes apply prospectively from the stated effective date. Your continued use of the Site after a revised version becomes effective means you accept the revised terms. If you do not agree to a revision, stop using the Site.

15. General provisions

If any provision of these terms is found unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. You may not assign these terms without our written consent; we may assign them in connection with a reorganization, transfer, or sale of the business or relevant assets. Section headings are for convenience and do not affect interpretation.
